Terms of Service

This is a working draft written to cover VendPort's actual features. It has not been reviewed by a lawyer and should not be treated as final legal advice — have counsel review it before relying on it in a dispute.

1. What VendPort is

VendPort is an online marketplace that connects event planners ("Planners") with independent event vendors such as caterers, decorators, photographers and entertainers ("Vendors") across Nigeria. VendPort facilitates introductions and manages booking requests; it does not itself provide catering, decoration, or any other vendor service.

2. Accounts

You must create an account with a valid email address to submit a booking request or a vendor application. You're responsible for keeping your password confidential and for all activity under your account. Tell us immediately if you suspect unauthorized access.

3. Vendor applications

Submitting a vendor application does not guarantee approval. VendPort reviews every application and may accept, reject, or request more information at its discretion. Approved vendors agree to provide accurate business information and to honor bookings they accept.

4. Bookings

A booking request submitted through VendPort is an expression of interest, not a binding contract until a Vendor confirms availability. Final pricing, deposits, and service terms are agreed directly between the Planner and the Vendor. VendPort is not a party to that agreement and does not currently process payments on either side.

5. Prohibited conduct

Providing false or misleading information in a profile, application, or booking
Using the platform to harass, defraud, or misrepresent yourself to another user
Attempting to interfere with, disable, or gain unauthorized access to any part of the platform or its data
Automated scraping, spamming, or submitting fraudulent bookings or applications

We may suspend or terminate accounts that violate these terms, with or without notice, depending on severity.

6. Disputes between users

If a disagreement arises between a Planner and a Vendor, contact support@vendport.ng and we'll do our best to help mediate. VendPort does not guarantee any particular outcome and is not liable for losses arising from a Planner–Vendor arrangement made outside the platform.

7. Limitation of liability

VendPort is provided "as is." To the fullest extent permitted by law, VendPort is not liable for indirect, incidental, or consequential damages arising from your use of the platform, including the quality or outcome of services delivered by a Vendor.

8. Changes to these terms

We may update these terms as the platform grows. Material changes will be reflected here with an updated date. Continued use of VendPort after a change means you accept the revised terms.
